Referrer terms and conditions

1.Terms used in this document.
a) PagePlay refers to software-as-a-service sold by PagePlay Limited, which comprises an integrated template-based content management system with inclusive hosting and email.
b) PagePlay Limited is a limited company in England and Wales. References to us or we in this document, mean PagePlay Limited.
c) You are the referrer as detailed in your Referrer Agreement letter.

2.PagePlay:
a) always remains the exclusive property of PagePlay Limited;
b) is subject to continuous development and change, therefore taking on the characteristics of a service rather than a product;
c) may be referred to as a service offered by the referrer provided the referrer does not give the impression that they created, manage or own it.

3. Your commission:
a) is usually calculated and paid by bank transfer on a monthly basis, but payment frequencies may sometimes vary;
b) is calculated on the basis of funds received from referred clients who are mutually agreed to be referred clients;
c) until paid by us, does not have any monetary value.

4.Sites sold through referral arrangements:
a) will carry PagePlay branding and contact details in their editing interface;
b) will, unless mutually agreed, include 'Simple Content Management by PagePlay' (or similar) text in their footer where 'PagePlay' is a link to pageplay.com;
c) may have an additional link in order to the referrer which forms part of the site's template, for example "Inspired by Blue Widgets";

5. How you refer to PagePlay.
a) The referrer must not register or use internet domains which include the word PagePlay or anything else which gives the impression that the referrer is the owner or sole distributor of PagePlay.
b) How PagePlay is referred to in the referrers own sales material, website, PR campaigns and other public communications material must be treated with the utmost care. The following guidelines for such references must be followed:

NOT "PagePlay worked for us" but "We worked with PagePlay" so the referrer and PagePlay are always equal

6.Contact with the customer:
a) for payment, and the customers payment relationship for PagePlay and its components remains with PagePlay Limited and as such their invoices are issued by PagePlay Limited with PagePlay listed in the inventory.
b) will take place regularly regularly between PagePlay Limited using email regarding upgrades to the system, new features and other service related issues.
c) for support regarding the PagePlay service is always done through PagePlay Limited.
d) The customer should not at any stage believe that the service is being provided by the referrer rather than by PagePlay Limited.

7. Rights conferred to the referrer by this agreement.
a) This agreement confers no exclusive right to sell PagePlay to a particular sector or within a particular geography, although PagePlay Limited may grant these rights to specific referrers in exceptional circumstances.
b) The referrer has no automatic right to demand referral credit as a result of referral activity. All payments which are made by PagePlay Limited in return for referral activity are done so totally at its discretion.

8. Limitation of Liability & General Terms
a) We are not responsible for any claimed damages, which may result from our servers going offline, or being unavailable for any reason. This includes damages which may result from the corruption or deletion of data. The customer agrees to indemnify and hold us and our employees harmless from any claims, damages, including but not limited to consequential damages resulting from the use of the service which damages the customer or any other party.
b) We will cooperate fully with investigations of violation of systems or network security at other sites and will cooperate with law enforcement authorities in the investigation of possible criminal violations. Customers who violate these terms may incur in criminal or civil liability.
c) We will be the sole arbiter as to what constitutes a violation of these Terms and Conditions. The failure by a customer to meet or follow any of the above Terms and Conditions is grounds for account suspension or deactivation.
d) All of the standard PagePlay terms and conditions apply to sites under referral arrangements as well as to referrers where those terms are considered appropriate by us. The full terms can be found at https://pageplay.com/about/ongoing/terms-and-conditions

9. Modification
a) We reserve the right to add, delete, or modify these Terms and Conditions, our prices and the service offered at any time with the most up-to-date version always being found on our website.
